Terms of Service

These Terms govern access to and use of the ItemStage platform, operated by TetraCore, Inc. ("TetraCore"). By creating an account or using ItemStage, you agree to these Terms on behalf of your organization (the "Customer").

1. Service

ItemStage is provided as a hosted software-as-a-service platform for item workflow and chain-of-custody management. Service availability targets and support terms are described in the order form executed between TetraCore and the Customer.

2. Customer responsibilities

The Customer is responsible for: ensuring operator users use ItemStage in accordance with these Terms; the accuracy of data entered into the platform; complying with applicable laws, including privacy and labor laws related to capturing operator activity.

3. Subscription and fees

Fees, billing cadence, and term length are set in the executed order form. Subscriptions renew automatically unless cancelled in advance per the order form.

4. Data ownership

The Customer owns its data. TetraCore processes it solely to provide the service. On termination, the Customer may export its data; TetraCore deletes it per the contract.

5. Acceptable use

You may not use ItemStage to violate law, infringe third-party rights, attempt to disrupt the service, or attempt to access another customer's data.

6. Warranties & disclaimers

TetraCore provides ItemStage on an "as is" basis. We disclaim implied warranties to the maximum extent permitted by law. Service-level commitments, if any, are in the order form.

7. Limitation of liability

To the extent permitted by law, TetraCore's aggregate liability under these Terms will not exceed the fees paid by Customer in the prior 12 months.

8. Termination

Either party may terminate for material uncured breach as set out in the order form. Upon termination, access to the service ends and TetraCore handles data per Section 4.

9. Governing law

These Terms are governed by the laws of the State of Ohio, USA, excluding conflict-of-laws rules. Venue lies in Wood County, Ohio.
